Both should be 46RE units. Points of interest to compare to swap are the overall case, the electrical plugs, and the cooler lines. If the case and the plugs are the same - it's the same basic trans inside too. I think there may be some chance the cooler line adapters in the side of the trans may need swapped, but that should be an easy fix.
As far as the electronics goes - the 46RE trans has a governor pressure transducer and a regulator solenoid to control governor pressure for shift points. They also have an overdrive solenoid to control overdrive, and a lock-up solenoid to control the torque converter lock-up. If it's an RE series trans (meaning electronic governor circuit) the parts are the same.
The broken old unit - first guess would be a failed rear clutch pack, either worn out clutches or the piston ring has failed. Front of the 46RE rebuilds like a 727 for the most part. O/D unit takes a few special tools to rebuild.
